Self-employed person (PFA)

 

A Self-Employed Person (PFA) is a business entity without legal personality.

Under the right of free initiative and the right of business establishment, any natural person, may he/she be a citizen of Romania or of any State member of the EU or the European Economic Area, may perform economic activities in Romania, as provided by law.

The natural persons mentioned above may perform economic activities individually and independently as self-employed persons. They must have a professional office in Romania, as provided by law.

In the case of a PFA, liability extends to the entirety of the person’s assets.

A self-employed person (PFA) can have employees.

Incorporation costs are lower for a PFA than a SRL, and the accounting system is single-entry. Also, the administrative costs are lower than those of a limited liability company.

What taxes and taxes must pay a PFA?

Income tax: 16%
VAT rate:

  • 20% up on 31 December 2016 to 1 January 2017 will be 19%;
  • 9% for the provision of services and / or deliveries of goods listed in art. 291, paragraph 2 of the Tax Code;
  • 5% for supplies of services and deliveries of goods listed in art. 291, paragraph 3 of the Tax Code.

Compulsory contributions:

  • NHH reduced: 10.5% ; NHH normal rate: 26.3%;
  • 5.5% NHSH.

Optional contributions:

  • Unemployment 0.5%;
  • Contribution for leaves and indemnities:0.85% ;
  • 0.15% - 0.85% Accidents at work.

Necessary documents for the incorporation of a self-employed person

Necessary documentes: 

  • ID copy;
  • Notarized copy of the title deed (if you don’t have a property where to register your office, you can choose our registered office hosting service);
  • A valid tax clearance certificate, in original;
  • Agreement Form signed by the Owners’/Tenants’ Association;
  • Documents certifying your training/professional experience: Copy of a diploma / degree / certification (which must be relevant to the business activity to be conducted) - proof of qualification for the envisaged field;
  • Bailment agreement ;
  • Specimen signature;
  • Power of attorney.

The charges related to registered office hosting services are VAT exclusive.

The rate for the billed hours will be calculated as follows: the fees listed above cover 30 minutes of commercial and marketing consulting services. For any consulting session longer than 30 minutes, but which does not exceed 1h and 30 minutes, a fee of 200 RON will be charged; for all consulting sessions lasting in excess of 1 hour and 30 minutes, a fee of 400 RON will be charged.

The tariff for more than 200 documents per month will be determined at that time depending on the complexity of the activity.

 

If you wish to perform an activity that requires the installation and use of a cash register, we provide fiscal activation solutions through our partners.

 

If you already acquired a cash register/fiscal printer and you only need help putting together the fiscal activation documentation and filing it with the General Directorate for Public Finances, we provide this service for a price of 90 RON (VAT exclusive).

Advance payment for 6 months with a 15% discount – 3,183 RON.
Advance payment for 12 months with a 20% discount – 5,320 RON.

Package 2 - Incorporation and accounting services

Advance payment for 6 months with a 25% discount applied to the incorporation ofee = 3,158 RON.
Advance payment for 12 months, with a 50% discount applied to the incorporation fee = 5,825 RON.

Package 3 - Incorporation, accountings services and registered office hosting
Advance payment for 6 months with a 15% discount – 3,599 RON.      
Advance payment for 12 months with a 20% discount - 5,688 RON.

 

Note!
The tariffs for accounting services do not include payroll services and are designed for Self-Employed Persons that yield no more than 50 accounting documents monthly. If the number of 50 documents per month is exceeded, the difference will be charged separately according to the price list indicated in the Annex to the contract and keeping in mind the specific activity line that the person actually pursues.
For 12-month packages, payment can be made in two instalments: 50% down payment upon signing the contract and the remaining 50% within 3 months from the signing of the contract.
