Cooperatives - incorporation

To incorporate a cooperative business entity you need the following documents:

  • Certified I.D. copy belonging to the business founders, administrators, internal auditor, or mandated persons (proxy) - if applicable;
  • Copy of Registered Office hosting Contract* - the lease or title deeds of the property where the registered office is going to be (plus the landlord(s) I.D.); the same applies for a secondary office. Reinvent Consulting offers you hosting services for registered office, in exchange for a fee.
  • Establish three name versions for the cooperative that you wish to incorporate.

As the incorporation process moves along, we will be adding to your file the following:

  • Incorporation article, sign with a legally enforceable signature by all the founding members, or in the authentic version in case a land-property has been subscribed for the capital stock (the original document; drafted by us)  ;
  • Bailment agreement - if applicable (drafted by us);
  • Owners association certificate/agreement - if applicable (drafted by us);
  • Affidavit from the following affiants: the founders, administrators, internal auditors, or natural persons who are the representatives of the juridical persons who hold the position of administrators or internal auditors. The affidavit will reflect the legal comply and the possessions of these qualities/ functions;
  • Signature specimen of the sole-administrator or administrators (the original);
  • Evidence of subscribed and paid-up cooperative shares and shared capital stock contributions by its members (copies);
  • Fiscal Records for associates or cooperative`s legal representatives or natural persons as representatives of the juridical person who is the administrator;
  • Certificate issued by the internal auditors as a result of the deposit (guarantee) paid by administrators (original or certified copy);
  • An affidavit (original), signed by the administrators, that certifies the following:

o The juridical person does not undertake, at the primary or secondary registered offices, any of the declared activities for a maximum 3 years’ time period (model1);

o The juridical person, fulfils the authorization criteria as stipulated by specific legislation from the sanitary field, sanitary-veterinary, environmental protection and work safety, for the mentioned activities and declares it by standard declaration (model 2)

If needed, the following may also be required:

  • proof of availability verification and logo reservation (original);
  • Agreement to use the name, provided by art. 39 of Law no. 26/1990, republished, amended and supplemented (the original);
  • prior authorizations as stipulated by special laws (original);
  • Special Power of Attorney (in original), appointed attorneys or delegated persons to fulfil the legal formalities (original).

For the founder, juridical person - incorporation articles (copies), the participation and formation decision of legal person statutory body of the cooperative`s founders.

*In case you will rent a property to host your registered office, you can sign the lease contract using the name reservation issued by the National Trade Register Office, which will be in your possession in 24-48 hours. If you are renting it from a legal entity (juridical person), we will also need a copy of the title deeds or administration contract of that property.

  • 6 months in advance pay, with 10% incorporation discount - 3600 RON
  • 12  months in advance pay, with 15% incorporation discount - 3950 RON
  • 2 years in advance pay, with 20% incorporation discount - 4700 RON

 

If you perform an activity that involves installation and use of a cash register, we provide fiscal requirements solutions through our partners.

The file preparation and the Public Finance demarches for the fiscal procedure are included in the package tariff.

The cash register will be charged separately and the fiscal procedure will be assured through our supplier.

 

The displayed tariffs include our fee, Trade Register taxes and VAT. THERE ARE NO OTHER CHARGES

Charges related to registered office hosting services do not include VAT

 

If you perform an activity that involves installation and use of a cash register, we provide fiscal requirements solutions through our partners.

If you already purchased the cash register and you are only interested in fiscal file preparation and the procedure of Public Finance for fiscal procedure, we provide this service at a price of 90 RON. The price does not include VAT.
