Company assignment, amendments at the Trade Register, Reinvent Consulting

If you decide to sell the company, or social parts (or shares in case of a joint stock company), then you must register with the Trade Register an amendment,  called assignment (contract of assignment regarding proprietary equity / social parts, shares, etc.).

At the beginning of the procedure, or at an intermediate moment during the file preparation, the presence of the partner / shareholders is required, with the company stamp and copies of all company documents, in addition to the initially required documents.

If you want to register several amendments in the same file, you will benefit from a 50% DISCOUNT of each entry fee (for reference, we shall consider the one with the highest fee).

Necessary documents

We will prepare a file that includes the following documents:

  • Assignment Contract,
  • General Assembly Resolution,
  • Additional Act / Statement of sole partner,
  • Updated Article of Incorporation,
  • Delegation.

As a result of legal changes, assigning a company is achieved through a two-step procedure that takes approximately 45 days. The term is available for Bucharest and Ilfov, while for other counties the process can take more than 2 weeks (the latter term being higher because the procedure involves sending mails both to the client and state institutions).
